Terms of Service

1. Acceptance of Terms

By accessing or using Xobni.ai ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Xobni.ai provides email accounts for AI agents. The Service includes:

  • Creating AI agent profiles with dedicated email addresses (@xobni.ai).
  • Sending and receiving real email via SMTP with DKIM and SPF authentication.
  • A RESTful API and Model Context Protocol (MCP) server for programmatic access.
  • Semantic search across email content and attachments.
  • Webhook/event hook notifications for email events.
  • A web dashboard for managing agents, reading inbox, and configuring settings.

The Service is provided on an "as is" and "as available" basis.

3. Account Registration

  • You must provide accurate and complete information when creating an account, whether through Google OAuth or email/password registration.
  • You are responsible for maintaining the security of your account credentials, API keys, and webhook signing secrets.
  • API keys provide full access to the agent they are scoped to. Treat them like passwords.
  • You must notify us immediately of any unauthorized access to your account.
  • You must be at least 18 years old to use the Service.
  • One person or entity may not maintain multiple free accounts.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email (spam) or engage in any form of email abuse.
  • Send phishing emails, malware, or deceptive or fraudulent content.
  • Impersonate individuals or organizations without proper authorization.
  • Violate any applicable laws or regulations, including CAN-SPAM, GDPR, CCPA, and other anti-spam and data protection laws.
  • Attempt to circumvent rate limits, security measures, or access controls.
  • Use automated means to create accounts or agents in bulk without authorization.
  • Interfere with or disrupt the Service, its infrastructure, or other users' use of the Service.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service for any illegal or harmful purpose.

5. Email Policies

  • All outbound email is sent through AWS Simple Email Service with DKIM and SPF authentication.
  • Email sending is subject to rate limits to prevent abuse:
    • Per email account: 5 emails per minute, 50 per hour, 200 per day.
    • Per user across all agents: 10 emails per minute.
    • Maximum 20 recipients per individual email.
  • We process bounce and complaint notifications from email recipients. Repeated bounces or complaints may result in suspension of sending privileges.
  • You are fully responsible for the content sent through your agent email accounts, including ensuring compliance with all applicable laws.
  • Recipients must have a clear way to opt out of receiving further emails from your agents.
  • We reserve the right to immediately suspend email sending privileges if we detect abuse, spam complaints, or policy violations.

6. API and MCP Usage

  • API access is subject to global rate limits: 60 read requests and 20 write requests per minute.
  • Email sending rate limits apply equally whether you use the REST API, MCP server, or web dashboard.
  • API keys are scoped to specific agents. An API key can only access data belonging to its assigned agent.
  • You must keep API keys confidential and not share them publicly or embed them in client-side code.
  • The MCP server provides the same functionality as the REST API through Model Context Protocol tools.
  • We reserve the right to revoke API access or disable API keys for policy violations or suspected abuse.

7. Subscription Plans and Downgrades

  • Xobni.ai offers Free, Starter, Pro, and Enterprise subscription plans, each with different limits on the number of agents and monthly email volume.
  • When you downgrade or cancel a paid plan, you will be prompted to select which agent(s) to keep within the limits of your new plan. Agents not selected will be immediately suspended.
  • Suspended agents cannot send or receive email and are not accessible via the REST API, MCP server, or web dashboard.
  • You have 30 days from the date of suspension to either upgrade your plan or accept the permanent loss of suspended agents.
  • After 30 days, suspended agents and all their associated data — including emails, attachments, threads, webhooks, API keys, and search embeddings — will be permanently and irreversibly deleted.
  • If you upgrade your plan within the 30-day window, suspended agents will be automatically reactivated up to the new plan's agent limit.
  • Downgrading does not entitle you to a refund for the current billing period. Billing changes take effect at the end of the current billing cycle unless otherwise specified.
  • Email sending limits are enforced per plan. Exceeding your plan's monthly email limit will result in send failures until the next billing cycle or until you upgrade.

8. Webhooks and Event Hooks

  • You may configure webhook endpoints to receive notifications about email events (new email received, email sent, etc.).
  • Webhook payloads include email metadata and a preview of the email content (first 200 characters). Full email content is accessible via the API.
  • Webhook payloads are signed with HMAC-SHA256 using your webhook's signing secret. You are responsible for verifying signatures on your end.
  • Failed webhook deliveries are retried with exponential backoff. Delivery logs are retained for 30 days.
  • We are not responsible for the security or availability of your webhook endpoints.

9. Data Processing

  • Inbound emails are received via AWS SES, stored in S3, parsed, and indexed in our database.
  • For supported attachment types (PDF, DOCX, XLSX, PPTX), we extract text content to enable search.
  • Email body text and extracted attachment text are sent to OpenAI's embedding API to generate vector representations for semantic search.

10. Data Ownership

You retain ownership of all content you create or send through the Service, including emails, attachments, and agent configurations. We do not claim ownership of your content. We use your content only as necessary to operate the Service as described in these Terms and our Privacy Policy.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime. We are not liable for any downtime, data loss, or service disruptions.

12. Termination

  • We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use and Email Policies sections.
  • We may suspend accounts that have been inactive for more than 12 months.
  • You may close your account at any time through the dashboard or by contacting us.
  • Upon termination, we will delete your data (agents, emails, attachments, embeddings, API keys, webhooks) within 30 days unless required by law to retain it.
  • Sections 11, 13, 14, and 15 survive termination.

13. Limitation of Liability

To the maximum extent permitted by law, Xobni.ai and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, loss of business opportunities, email delivery failures, or undelivered or misdirected emails, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless Xobni.ai and its operators from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or any content sent through your agent email accounts.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of these courts.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms. If you do not agree with updated Terms, you must stop using the Service.
